Anti-Gravity Games Participant Waiver, Release, and License
“IWCC” shall mean Iowa Western Community College, Council Bluffs, Iowa and all of its affiliated entities, and all other entities under common control with, controlled by or controlling IWCC and all of their officers, directors, employees, agents, successors and assigns. Google Inc. and its subsidiaries, affiliates, licensees, successors, and assigns (collectively, “Google”) “Participant” shall mean any individual participating in the Anti-Gravity Games activities.
Liability Waiver: Participant hereby waives and releases IWCC and Google from all liability for any and all claims, actions or causes of action which may hereafter accrue against IWCC and Google for any loss, damage or injury to Participant (including death of Participant) or any property arising out of, an account of occurring by reason of: 1. Any personal activity, function, event or action in which the Participant is engaged in while on IWCC premises or when participating in IWCC sponsored off-campus activities. 2. Any act, failure to act, error or omission of IWCC or Google Participant agrees to indemnify, defend and hold IWCC and Google harmless from and against any and all claims, actions or causes of action of the type and/or kind described above which may hereafter accrue and be asserted by any third party against IWCC or Google. This waiver is binding on all Participants’ heirs, executors, administrators and assigns.
Photo Release: I grant to IWCC and Google an unrestricted, sublicensable, assignable, irrevocable, perpetual, worldwide, royalty free license to my voice, image, persona, likeness, and performance in any audio, visual, and audiovisual recordings (including, but not limited to, photographs, digital images, digital video, digital audio, video tape, and audio tape) taken or to be taken of me by or on behalf of IWCC or Google (the “Content”). This license includes without limitation the right to: 1.Reproduce, modify, create derivative works of, and otherwise use the Content or derivative work thereof, in whole or in part, in any manner and matter (including, without limitation, for marketing and promotional activities) or in combination with any other material, in any format or media, whether now existing or hereafter devised, including, but not limited to, text, data, images, photographs, illustrations, animation and graphics, video, audio, and all formats of computer readable electronic, magnetic, digital, laser, or opticalbased media (the “Works”); 2. Publicly display, publicly perform, sell, rent, distribute (directly or indirectly), transmit, or broadcast the Works by any means now known or hereafter devised. I waive all rights, including any right of prior approval, and release IWCC or Google from, and will neither sue nor bring any proceeding against IWCC or Google for, any claim or cause of action, whether now known or unknown, for defamation, copyright infringement, and invasion of the rights to privacy, publicity, or personality or any similar matter, or based upon or relating to the use and exploitation of the Content. I represent and warrant: (i) that execution of this license, release, and waiver will not cause or create any conflict with, breach of or default of any contract by which I am bound; (ii) that I will comply with all applicable laws and regulations; (iii) that I will provide services to Google as an independent contractor and not as a Google employee; (iv) that I am at least 18 years of age and am competent to contract in my own name; and (iv) and that I have all necessary legal rights to grant the authorizations set forth above. I agree that I will not be entitled to any compensation, options, stock or other rights or benefits accorded to Google employees. I agree that there is no obligation to use the authorization granted by me hereunder. The terms of this authorization commence on the date below and continue in perpetuity.
