SECTION I – PURPOSE AND APPLICATION 1. This Guidance explains the responsibilities and terms of reference of Bank staff representing the Bank as Trustee in FIF-supported PP governing bodies. 2. This Guidance applies to the Bank. SECTION II – DEFINITIONS As used in this Guidance, the capitalized terms or acronyms have the meanings set out: (a) in Section II of the FIFs Directive; (b) in Section II of the FIFs Procedure; or (c) below: FIFs Procedure: Bank Procedure, “Management Framework for Financial Intermediary Funds”, February 9, 2015, Catalogue Number DFi2.02-PROC.01. SECTION III – SCOPE 1. In the Bank’s role as trustee for a FIF, it has a relationship with, and sometimes is a formal member of, the FIF-supported PP governing body. As a consequence, Bank staff participate in, or attend as observers or participants, the FIF-supported PP governing body to represent the Bank as Trustee. 2. The overall responsibilities of Bank staff representing the Bank as Trustee at a FIFsupported PP governing body will be consistent with the terms and conditions of service or other such arrangements governing the Bank’s trustee services to the FIF-supported PP. The responsibilities of such Bank staff include, but are not limited to the following: a. participate in governing body meetings when appropriate; b. receive information from the governing body, the FIF-PP secretariat, etc. related to decisions, absence of objection procedures, etc. for further action by the Bank as Trustee; c. present financial and other reports to the governing body; d. represent the Bank as Trustee of the FIF in the day-to-day Trustee operations and regular consultations with members and other participants to the FIF governing body; and e. exercise responsibility for the coordination and delivery of the services of various departments of the Bank in its role as Trustee. 3. Bank staff representing the Bank as Trustee secure in advance the necessary internal clearances for any position to be taken relevant to the roles and responsibilities of the Bank as Trustee. 4. Bank staff representing the Bank as Trustee do not take official Bank positions or express views on issues that are outside the roles and responsibilities of the Trustee. support of the FIF, Bank staff representing the Bank as Trustee take note of the remarks, questions, issues, etc. and communicate them to the relevant Bank unit. 5. If the Bank staff is unable to attend a meeting, decision process, or other event, such Bank staff notifies his or her supervisor and the FIF secretariat of the name and position of the substitute to represent the Bank as Trustee. 6. After each meeting, the Bank staff representing the Bank as Trustee prepares a status report summarizing major decisions taken and their implications for the Bank. These implications may relate to financial, legal, institutional, or other dimensions. The status report is submitted to the Bank staff’s supervisor, and distributed to other concerned Bank staff as may be appropriate. 7. Disclosure by Bank staff of documents, deliberations, and other processes of the FIFsupported PP governing body follow the Bank’s Access to Information Policy. SECTION IV –EFFECTIVE DATE This Guidance is effective February 9, 2015. SECTION V – ISSUER The Issuer of this Guidance is the Vice President, Development Finance.
