BAZAAR ART PRIZE, 2015 (“BAZAAR ART”) -

LETTER OF AGREEMENT

1. We, SPHM Pte Ltd (the “Company”), refer to the works which you have created for publication in Bazaar Art. NON-EXCLUSIVE LICENCE 2. You retain ownership of the copyright and other intellectual property rights in the works that you have created or will create pursuant to the terms of this Agreement, but you agree that the Company and its related companies and appointed parties shall have a worldwide, nonexclusive licence to use the works in any manner and in relation to any media, for the period that copyright subsists in such works. 3. You confirm that you own all rights to the works submitted to the Company under the terms of this Agreement or that you are able to grant the rights required to be granted to the Company under the terms of this Agreement, and that the works submitted to the Company under the terms of the Agreement will not infringe the rights of any third parties or breach any applicable laws, rules and regulations, and hereby agree to indemnify and hold the Company, its subsidiaries and related companies, and their directors, officers and agents harmless from and against any and all liabilities, claims, demands, actions, costs, damages or loss arising out of or in connection with their use of the works and/or any breach by you of the terms of this Agreement. 4. In connection with and during the course of this Agreement, you agree and consent to the Company as well as its service providers collecting, using, disclosing and/or otherwise processing your personal data to communicate with you for purposes related to Bazaar Art, for publicity and/or use in advertisements across all media to promote the Harper’s Bazaar magazine without further notification, remuneration or compensation. 5. This Agreement contains the entire agreement of the parties with respect to the subject matter of this Agreement, and supersedes all prior negotiations, agreements and understandings in relation to the same. No change or modification of this Agreement shall be valid unless it is in writing and signed by both parties. 6. This Agreement shall be subject to and construed in accordance with the laws of Singapore and the parties submit to the non-exclusive jurisdiction of the courts of Singapore.

Harper’s BAZAAR Art Prize 2015 in association with Robinsons Objective: Harper’s BAZAAR Art Prize 2015 is an initiative by Harper’s BAZAAR and Singapore’s strongest retailer, Robinsons, to provide a platform to showcase budding young artists of Singapore and to provide an opportunity for their works to be exhibited. The competition aims to find and nurture the next rising star in the Singapore Art scene. Theme: Uniquely Asian 4 Categories: • • • •

JUDGING CRITERIA •

ORIGINALITY: Jury will look at the originality of the work and technique that is used to execute it, creativity and quality of execution.



CONCEPT: The concept should express a personal point of view, critical and sensitive, and should reflect the universe and imagination of the artist.



COHERENCE: Between the work and the concept, selection committee will check if the series proposed is consistent with the concept exposed.

APPENDIX Harper’s BAZAAR Singapore Art Prize Rules and Regulations CONDITIONS OF ENTRY • •

Participants must above 16 years of age at the time of application Participants must fill in all fields of the Application Form and send photos/videos of their artworks. Photos to be no larger than 1MB each and videos are to be sent via a download link (Images uploaded can be different shots of the same artwork) The artwork(s) must be the participant’s own work(s) Participants may apply only once per category Applications are only accepted from individual artists, not a group of artists; any artist who belongs to a group can apply individually as a separate participant Participant must not be represented by a gallery and must not be selling works commercially Artwork submitted must not be exhibited in public before, but excluding graduation show(s). Participants should explain how the work proposed is original as well as the concept behind it. It should reveal the universe of the artist, the inspiration and imagination which make the project personal and unique Should there be a prize exhibition, selected participants would need to be present. Each participant agrees to pass to the Organizers all rights to use an image of his artwork(s) o For publication and communication without any payment as long as its use is not damaging and/or intended to damage his/her reputation as an artist Each Artwork must be made available for sale at the Prize Exhibition displayed from 14 January to 30 January 2016. Participants to submit their artwork using the media of their choice Accepted Media: o Painting: Oil/Acrylic on canvas, Ink/Watercolour on Paper to be larger than 30cm x 30cm and smaller than 180cm x 180cm o Photography: Including digital photography, traditional-analogue photography, polaroid, photography including innovative manipulation of the image o Sculpture: All materials are accepted. Participants are required to explain the display The Artist's name, address, contact details, the title of the Artwork and the medium must be clearly marked on the reverse of the artwork Participants shall not upload any obscene or defamatory images Robinsons will display the finalist's Artworks for the duration of the exhibition period. Artists must collect artworks that are not sold at their own expense

LOSS OR DAMAGE •





Harper’s BAZAAR Singapore and Robinsons will not be responsible for any loss, theft or damage suffered whatsoever to any Artwork while in transit or for the time the artwork is on exhibition or in custody of Robinsons. Each Artist will indemnify Harper’s BAZAAR Singapore and Robinsons against all losses, liabilities, claims and expenses arising out of or in any way connected to any loss or damage suffered to the artwork created by that Artist Each Artist is responsible for his/her own insurance cover

INTELLECTUAL PROPERTY RIGHTS • • •



Each Artist warrants that the Artist does not breach any international copyright laws Any infringement of copyright laws by an Artist will be the sole responsibility of that Artist Each Artist will indemnify Harper’s BAZAAR Singapore and Robinsons against all losses, liabilities, claims and expenses arising out of or in any way connected to any breach of intellectual property rights in relation to the Artwork created by that Artist Each Artist selected as a finalist authorises Harper’s BAZAAR Singapore and Robinsons to publish their Artwork free of copyright, totally or partly, in all publications (catalogues, folders, posters, slide shows, media releases, brochures, etc) related to this art prize, as well as on the Harper’s BAZAAR Singapore and Robinsons Websites. However, copyright of the works remains the property of the Artist

DISQUALIFICATIONS Harper’s BAZAAR Art Prize reserves the right to disqualify a participant or terminate the winner’s agreement based on the following case: entering wrong identity information, infringement of copyright and intellectual property, indecent or intolerable attitude. A disqualified winner will not be eligible for any prize money.

PROMOTIONAL USE OF ARTWORK •



Each Artist agrees to allow Harper’s BAZAAR Singapore the unconditional use of the Artwork owned by that Artist for promotions, media, advertising and announcements without compensation, consideration, notice, review or consent where permitted Each Artist may be asked to provide high-resolution file of the photograph of their Artwork for promotional material

JUDGES AND DECISION The decision of the judges is final. There is no right of appeal. The judges are not obliged to give any reason for their decision SALE OF WORKS Works selected for exhibition will be offered for sale. Robinsons will levy 50% inclusive of GST commission on all works sold during the exhibitions or afterwards directly as a result of the Harper’s BAZAAR Art Prize in Association with Robinsons both at the exhibition and on the website. Artists must make sure that their sale price includes the commission and GST (if applicable). Robinsons will send official offers of sale by email to the artist. This will incorporate a statement summarising the details of the transaction. Robinsons’ role is strictly limited to introducing the purchaser to the artist. Robinsons does not act as the artist’s agent or partner, and has no authority to negotiate or conclude the sale of a work.
