I hereby freely grant Minnesota Public Radio, its parents, broadcast affiliates, associates, licensees and assigns (collectively “COMPANY”), the right to record, edit, reproduce, photograph and use my performance and/or appearance, name, likeness and image and any of my trademarks, if applicable, (collectively referred to as my “Appearance.”) in connection with the Program and COMPANY. I agree that my Appearance may be edited and distributed, exhibited, exploited, promoted and used in whole, or in part, in any form, both as in audio visual or audio format, or as still photography, in any manner or media, either now known or hereafter created, worldwide in perpetuity, and for the purposes of fundraising, and promoting and advertising for the Program and for COMPANY. I understand that I have no rights or claims to the Program or any other benefits derived therefrom. I agree COMPANY is under no obligation to use my Appearance or any of the rights granted hereunder. I represent and warrant that I am under/over (circle one) eighteen years of age* and have the right to grant the rights granted hereunder and that the rights I have granted will not conflict with or violate any commitment or understanding I have with any other person or entity, nor be defamatory or infringe upon any rights (including without limitation, copyright and privacy rights) of any person or entity. I hereby waive any right of inspection or approval of the use or uses of my Appearance by COMPANY. I acknowledge that COMPANY will rely on the rights granted by me hereunder potentially at substantial cost and I agree not to assert any claim of any nature whatsoever against anyone relating to the exercise of the rights I have granted COMPANY herein. I expressly release and will defend and hold COMPANY harmless from any and all claims arising out of the use of my Appearance and/or a breach of my representations and warranties hereunder. I affirm that: (a) neither I nor anyone acting for me, gave or agreed to give anything of value to any member of COMPANY, its staff, or anyone associated in any manner with the Program for arranging my appearance or the rights granted hereunder; nor, (b) did I or anyone acting for me receive anything of value from a third party for arranging my appearance or the rights granted hereunder. This Agreement represents the entire understanding between me and COMPANY and may not be amended unless mutually agreed to by the parties in writing. COMPANY may assign this Agreement, in whole or in part, to any person, company or entity as it shall determine. This Agreement and all matters or issues collateral thereto shall be governed by the laws of the state of Minnesota applicable to Agreements performed entirely therein.
