ANNOUNCEMENT RESIGNATION OF DIRECTOR AND CHANGE OF CHIEF EXECUTIVE OFFICER The board of directors (the “Board”) of China Taiping Insurance Holdings Company Limited (the “Company”) announces that due to the reach of the age of retirement, Mr. Ng Yu Lam Kenneth (“Mr. Ng”) has resigned as executive director and chief executive officer of the Company and a member of the remuneration committee of the Company with effect from 9 April 2013. Mr. Ng has confirmed that there is no disagreement with the Board, and there is no matter relating to his resignation as executive director and chief executive officer of the Company that needs to be brought to the attention of the shareholders of the Company. The Company extends its gratitude to Mr. Ng for his dedication, hard work and achievements made in the development of the Company during his tenure of office. Mr. Song Shuguang (“Mr. Song”), an executive director and Vice Chairman of the Company, has been appointed as the chief executive officer of the Company and a member of the remuneration committee of the Company with effect from 9 April 2013. Save as disclosed above, Mr. Song has not held directorships in any other listed public companies or any other positions with the Company and other members of the Company’s group in the past three years, and does not have any relationship with any other directors, senior management, substantial shareholders or controlling shareholders (as defined under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, the “Listing Rules”) of the Company. As at the date hereof, Mr. Song is beneficially interested in an aggregate of 810,000 shares of the Company (equivalent to approximately 0.05% of the issued share capital of the Company), comprising 10,000 shares of the Company which are beneficially owned by Mr. Song, and 800,000 shares representing underlying shares of the share options granted to Mr. Song on 2 November 2005 pursuant to a share option scheme of the Company, details of which are set out in the annual reports of the Company. Save as the aforesaid, Mr. Song has no interest in the shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong). Mr. Song is not appointed for a specific term, but is subject to retirement by rotation and re-election every three years at annual general meetings of the Company in accordance with Article 97 of the Company’s articles of association. The emoluments of Mr. Song are determined by the Board and the Remuneration Committee with reference to the principles set out in Mr. Song’s appointment letter, including the position of Mr. Song, the results of the Company and the prevailing market conditions. Details of emoluments received by Mr. Song from the Company each year are set out in the annual reports of the Company. Mr. Song confirmed that there is no information required to be disclosed pursuant to Rule 13.51(2)(h) to (v) of the Listing Rules. The Board is not aware of any other matter relating to the appointment of Mr. Song as the chief executive officer of the Company that needs to be brought to the attention of the shareholders of the Company.
