ELIGIBILITY: The Katy Perry’s INDI Fragrance Day Giveaway is open only to legal residents of the fifty (50) United States and District of Columbia, who are at least 16 years of age and who have a valid e-mail account, valid Instagram, Facebook and/or Twitter accounts and Internet access as of the beginning of the Giveaway Period (defined below). Any individuals (including but not limited to employees, consultants and independent contractors) who have, within the past six months, performed services for Sponsor, Administrator, or any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Giveaway, and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or win prize(s). For the purposes of this Section 3:

GIVEAWAY ENTRY: a. The Giveaway Period The Giveaway begins on or about 1:00:00 p.m. Eastern Time (“ET”) on March 20th, 2018 and ends 1:00:00 p.m. ET on March 22nd, 2018 (the “Giveaway Period”). Administrator’s computer is the official clock for this Giveaway.

To mention someone, type @ followed immediately by their username (ex: “@username”). Don't include a space between @ and the username. You may include additional comments with your mention, but this is not required (nor will the inclusion of additional comments in any way enhance your odds of winning a prize.) DO NOT SUBMIT A COMMENT WITHOUT FIRST REVIEWING THESE OFFICIAL RULES. Your #Smellfie and otherwise in full compliance with these Official Rules will constitute your entry into this Giveaway (“Entry”). Partial or incomplete piecemeal submissions will NOT BE ACCEPTED. Do NOT include personal information (e.g., name, e-mail address or phone numbers) about yourself or anyone else in the comment itself. You confirm that: i. your comment: (A) is original, and is not libellous, defamatory, obscene, sexually explicit or pornographic, abusive, indecent, threatening, harassing, violent, hateful, inflammatory, offensive, discriminatory, likely to deceive, or otherwise objectionable; (B) does not infringe third-party rights including without limitation, any third party privacy, publicity, trade secret and/or intellectual property rights, including third party registered and/or common law copyrights and trademarks; (C) does not disparage Sponsor, Administrator, Katy Perry any other person or entity affiliated with the Giveaway or products, services or entities that are competitive with any of the foregoing; (D) does not contain content, images or other material that reflects, advocates or promotes bigotry, racism, hatred, harm or exploitation of or against any class, group or individual, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age, or actions or activities that are restricted, prohibited, illegal or unlawful (including without limitation, the consumption of alcohol or other controlled substances); and (E) does not contain content, images or other material that is unlawful or in violation of or contrary to any applicable federal or state laws or regulations. ii. you have not impersonated any person or misrepresented your identity or affiliation with any person or organisation; iii. there are no conflicting agreements in place that restrict usage of your comment. The Giveaway is limited to one (1) Entry per person during the Giveaway Period. Multiple entries and/or mass entry attempts (i.e., multiple comments) may result in disqualification of all entries by such person/email address/Instagram account. Entries must be manually key-stroked by the entrant; use of automated entry devices or programs, or entries by third parties by any method of entry, are prohibited. Entries that do not conform to or that violate these Official Rules or are submitted in any manner other

than stated in these Official Rules may be disqualified. Without limiting the foregoing, comments posted outside of the Giveaway Post will NOT result in Giveaway entry. Sponsor and Administrator will not be responsible for late, corrupted, garbled, inaccessible/blocked, incomplete or misdirected entries. All entries must be posted to the Giveaway Post in their entirety prior to the end of the Giveaway Period. By entering this Giveaway, entrants agree to these Official Rules and the decisions of the Administrator and Sponsor, which are binding and final in all matters relating to this Giveaway. If the comment cannot be viewed and/or accessed by Sponsor or Administrator for any reason whatsoever, the comment may be disqualified without any fault or liability to the Released Parties (defined in Section 9). d. Intellectual property rights Once submitted, Entries become the sole property of Sponsor (subject only to the rights of Instagram), and cannot be modified by entrant. Posting of a comment to the feed and the Giveaway Post which is not thereafter deleted by Sponsor/Administrator does not constitute any representation of eligibility for Giveaway and the re-posting of a comment by Sponsor/Administrator does not constitute notification of winning a prize. By submitting a comment, entrant (if a minor his/her parent/legal guardian) gives permission to Sponsor and Sponsor’s designees hereby grants to each of them a royalty-free, irrevocable, perpetual, worldwide, sub-licensable, non-exclusive license (herein “License”) to use, reproduce, edit, display, adapt, distribute and transmit the entrant's comment: (i) on any media and through any means now known or hereafter devised, including without limitation, the World Wide Web; (ii) in the advertising, promotion, and publicity of the Giveaway; (iii) in the advertising, promotion, and publicity of Sponsor’s or its parent’s, subsidiaries’ or affiliates’ products and services; and/or (iv) otherwise, as stated in these Official Rules (as solely determined by Sponsor); and/or (v) otherwise use entrant's comment, and make derivative works therefrom, without compensation in accordance with the requirements of this Giveaway. Such License will be confirmed by the entrant (if a minor his/her parent/legal guardian) upon Sponsor’s request and the entrant (if a minor his/her parent/legal guardian) agrees to timely complete, sign and deliver any and all necessary documents, including without limitation, documents setting forth any licenses, releases and indemnities that Sponsor in its sole discretion may require, without condition or compensation of any kind. Sponsor’s failure to receive all documentation from all individuals within the prescribed timeframe, in each instance as required by Sponsor in its sole discretion, may result in the disqualification of the entry and the selection of another entry as a potential winner.

PRIZES, APPROXIMATE RETAIL VALUES ("ARV") AND ODDS OF WINNING: Ten (10) winners of the Giveaway will receive a Katy Perry fragrance signed by Katy Perry (the “Giveaway Prize”). Sponsor in its sole discretion may award a substitute to the Giveaway Prize of equal or greater value if the Giveaway Prize is unavailable at time of awarding for any reason.

The odds of winning any Giveaway Prize for the Giveaway Period depends on the total number of eligible entries received for that Giveaway Period. Entry to the Giveaway is limited to one prize per person, address or household for the Giveaway Period. Any costs and incidentals not specified herein are the winner’s sole responsibility. There will be no substitution, cash redemption or transfer of the Giveaway Prize except with Sponsor’s permission (which may be granted or withheld for any reason) or where required by law. If a Giveaway Prize is won by a minor, Sponsor in its sole discretion may award the prize to or in the name of minor’s parent or legal guardian. Winners are solely responsible for any federal, state and/or local taxes associated with accepting a Giveaway Prize.

RANDOM DRAWINGS/SELECTION OF WINNERS: Potential Giveaway Prize winners (“Potential Winners”) will be selected in random drawings on or about the subsequent Thursday following the Giveaway Period end date among all eligible entries received for the Giveaway Period. To be eligible for the Giveaway Period the Entry must be received and recorded by the Sponsor’s computer by the Giveaway Period end date. Drawings of Potential Winners will be conducted by (i) Cult LDN agency, an independent judging organization; or (ii) the Administrator, whose decisions are final and binding on all matters related to the Giveaway.

7.

WINNER NOTIFICATION: Potential Winners will be notified by direct message on Instagram, Facebook or Twitter (or another method of notification to be chosen by Sponsor and/or Administrator in their sole discretion) (the “Winner Notification”). Potential Winners’ Instagram, Facebook and Twitter accounts must be set so as to allow for receipt of direct messages from @KPFragrances. The Sponsor and/or Administrator shall have no liability for non-receipt of Winner Notification if the Potential Winner’s Instagram, Facebook or Twitter account is not properly set to receive direct messages from @KPFragrances. The Potential Winner must respond to A Winner Notification within three (3) business days of the time of the Winner Notification. Failure to do so will result in disqualification of the Potential Winner from the Giveaway without compensation of any kind. Potential Winners may be required to sign and return within three (3) business days of notification an Affidavit of Eligibility, Release and Indemnification, and a Publicity Release where allowed by law. An electronic signature by a Potential Winner shall have the same force and effect as the actual physical document containing such entrant’s signature in ink. Affidavit may also include a grant of license and use rights from the entrant to Sponsor and its designees, permitting Sponsor and its designees to post, reproduce, distribute, publicly display, publish, republish, make derivative works of and modify the entrant’s comment for any purpose whatsoever, including without limitation, using the comment in a future Katy Perry campaign, without compensation, right of review or notice of any kind. If the fully signed and notarized Affidavit of Eligibility, Release and Indemnification and Publicity Release is not returned to Sponsor within specified time period, Potential Winner may be disqualified in Sponsor’s sole discretion. If a Potential Winner is disqualified for any reason, that entrant will forfeit his/her status as a winner without compensation of any kind and an alternate winner may be selected in conformance with these Official Rules. In the event of any dispute concerning the identity of any entrant, the Entry will be deemed submitted by the natural person who is the authorized holder of the e-mail account associated with the Instagram, Facebook or Twitter account used to comment on the Giveaway Post in question. For the purposes of this Section 7, "authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization

(e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

RELEASE OF LIABILITY: The Released Parties (as defined in Section 9) are not responsible for late, incomplete, misdirected, illegible, inaccessible comments, internet connections or email; or for any computer, telephone, wireless, satellite, cable, network, electronic, Internet or phone hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/website/use net/accessibility, availability, or traffic congestion, Internet contact, or any technical error, or program errors or malfunctions or unauthorized human intervention, or the incorrect or inaccurate capture of Entry or other information, or the failure to capture, or loss of, any such information. The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by Instagram users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Giveaway and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to Instagram (or any other website). The preceding expressly includes the inability of Sponsor/Administrator to access or properly review Entries due to filtering or other operation of the functionality of Instagram. If for any reason the Giveaway is not capable of running as planned (in whole or in part), as solely determined by Sponsor, including but not limited to by infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures that can corrupt or affect the administration, security, fairness, integrity or proper conduct of the Giveaway, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Giveaway (in whole or in part). In such event, Sponsor shall conduct the Giveaway and award the prize in a manner which is fair, appropriate and consistent with the spirit of these Official Rules, as determined by Sponsor in its sole discretion. Notice of cancellation/termination/ modification/suspension of the Giveaway will be posted on the Sponsor’s Instagram page. The right is reserved by Sponsor to disqualify any individual found, at its sole discretion, to be tampering with the Entry process or the operation of the Giveaway or Website, to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Released Parties are not responsible for any injury or damage to entrant's or any other person's computer, mobile phone or device related to or resulting from participation in or downloading (or uploading) any materials from this Giveaway. Entrants further agree not to knowingly damage or cause interruption of the Giveaway and/or prevent others from participating in the Giveaway. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE OR AN INDIVIDUAL OTHERWISE ATTEMPTS TO DEFRAUD SPONSOR, SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

CONDITIONS AND LIMITATIONS OF LIABILITY: By participating, entrants (if a minor his/her parent/legal guardian) agree to be bound by and abide by these Official Rules and the decisions of Sponsor and/or Administrator, which shall be final and binding in all respects. By participating in this Giveaway, entrant (if a minor his/her parent/legal guardian) agrees to release and hold harmless: (i) Sponsor, Administrator and Instagram, LLC, and (as applicable) each of their respective parents, subsidiaries, affiliates and successor companies, advertising and promotion agencies, licensors, licensees, contractors, partners and officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns; and (ii) Katy Perry, (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage (whether due to negligence or otherwise) to person(s), including death, and property or breach or failure or any representation of warranty arising in any manner, directly or indirectly, from participation in this Giveaway and/or from the acceptance, misuse or use of any prize. By entering, the entrant (if a minor his/her parent/legal guardian) authorizes the Sponsor and its designees to use entrant’s name, voice, likeness, photograph, prize information, biographical data and city and state of residence in programming,

advertising, trade and/or promotional material and on a winners’ list (if applicable) in all media now known or hereafter discovered, world-wide and on the World Wide Web and Internet, at any time, in perpetuity, without compensation (where permitted by law) and without review, approval or notice, to the extent permitted by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation. EXCEPT FOR SPONSOR’S OWN PRODUCT THAT MAY BE COVERED BY A WARRANTY (AND, IN SUCH CASE, THE WARRANTY SHALL BE EXPRESSLY LIMITED TO ITS TERMS), SPONSOR MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE USE OF ANY PRIZE (OR ANY COMPONENT OF ANY PRIZE), INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

DISPUTES, ARBITRATION AND CHOICE OF LAW: To the fullest extent permitted by law, entrants (entrant’s parent or legal guardian if entrant a minor) agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Katy Perry’s INDI Valentine’s Day Giveaway, or any prize awarded, or the determination of the winners, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association, then effective, and (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Katy Perry’s INDI Valentine’s Day Giveaway (if any) but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Sponsor will defray all costs of individual’s participation in arbitration proceeding as may be required by arbitrator. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Released Parties in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York, without regard for conflicts of law doctrine, and all proceedings shall take place in the City of New York, County of New York.

By agreeing to these Official Rules you acknowledge that you have read, understood, and, where applicable provide consent to the use of your information in accordance with, the Privacy Policy.
